Business exit planning UK

Planning to sell your business? How to prepare your finances 3–5 years out

A practical guide for UK owner-managed company directors and family business owners who want to connect business exit planning with tax, pensions, retirement and life after sale.

At a glance

  • The best personal financial plans for a business sale usually start three to five years before a buyer appears.
  • The more reliable and transferable the business is, the more confidence you can have when planning your retirement or next chapter.
  • Business Asset Disposal Relief (BADR) can reduce Capital Gains Tax on qualifying gains, but the rules are strict and the relief is less generous than it once was.
  • Pension contributions before selling a business can be powerful, but annual allowance, carry forward and company tax rules need checking early.
  • A sale is not just a business event. It is often a retirement, family and identity decision too.
  • Abode Financial Planning is an independent, Chartered financial planning firm in Cirencester, helping business owners plan life before and after exit.

Start with the life you want after the sale

Business owners financial planning

Before thinking about buyers, deal structures or tax, start with a simpler question: what does the sale need to do for you?

For many owner-managed limited company directors, the business is the pension, the family security blanket and the biggest asset in the room. That makes business exit planning in the UK deeply personal.

Ask yourself:

  • How much money do I need from the sale to feel secure?
  • Do I want a clean break, a gradual handover or a continued role?
  • What happens if the sale is delayed by two or three years?
  • Will the proceeds support retirement, a new venture or a mix of both?

This is where lifetime cash-flow planning helps. It turns a possible sale price into a clearer picture of future income and lifestyle possibilities. Sometimes the question is not “what is the highest price?” but “what sale outcome gives me the life I actually want?”

For family business owners, this can be especially sensitive. The company may have supported the household for years, employed relatives, carried the family name or become part of your identity.

A good exit plan should deal with the numbers, but it should also give you time to think about purpose, fairness and what comes next.

That matters whether you run a professional firm in Cirencester, a family business in the Cotswolds or a specialist company serving clients across the UK.

Make the business easier to buy and protect your personal outcome

Preparing a company for sale may sound like corporate finance territory, but it directly affects your personal financial plan. A stronger, less risky business can give you more options, whether you sell, step back gradually or decide to keep trading for longer.

It’s not about making your company look perfect for six months. It is about making it genuinely stronger over several years.

A buyer wants confidence that profits will continue after you leave. If every key client, supplier and staff decision still runs through you, the buyer may see risk rather than value.

Three to five years out, focus on:

  • Reducing owner dependence: build a management team that can run the business without you.
  • Improving profit quality: tidy margins, pricing, recurring income and cash collection.
  • Cleaning up records: make sure accounts, contracts, shareholder records and Companies House filings are accurate.
  • Reducing concentration risk: avoid relying too heavily on one customer, one supplier or one key employee.
  • Documenting how the business works: systems, processes and responsibilities should be clear.

Companies must identify and report people with significant control to Companies House, and the register cannot simply be ignored or left blank. A tidy public record will not make a deal by itself, but a messy one can create avoidable questions during due diligence.

Understand what drive value

Your retirement plan may depend on the sale proceeds, so it helps to understand what buyers value. A buyer is not buying your past effort. They are buying future profit.

That means valuation is not just a number to celebrate or argue with. Used well, it is a planning tool. An early valuation can show where value is leaking away and what needs fixing before you go to market.

For example:

Buyer concern Why it matters What to do 3–5 years out
Too much reliance on the owner
Profits may fall after sale
Build second line management
Weak management accounts
Buyer cannot trust the numbers
Improve monthly reporting
One major customer dominates revenue
Future income looks fragile
Broaden the customer base
Untidy contracts
Legal risk slows the deal
Review customer, supplier and employee agreements
Surplus cash or investments in the company
Could affect tax planning
Review with accountant and financial adviser early

You do not need to turn the business into a corporate machine. But you do need to make it understandable, transferable and less dependent on goodwill that only exists because you are still there.

Get the tax planning moving early

Tax planning should not be left until heads of terms are on the table.

For many limited company owners, selling shares personally is more attractive than the company selling its assets. That is because a qualifying share sale may be taxed under Capital Gains Tax rules, and Business Asset Disposal Relief may apply.

Business Asset Disposal Relief, formerly Entrepreneurs’ Relief, can reduce the Capital Gains Tax rate on qualifying gains. For disposals from 6 April 2026, qualifying gains are taxed at 18%, with a £1 million lifetime limit. GOV.UK guidance on Business Asset Disposal Relief

To qualify on a share sale, GOV.UK says conditions normally need to apply for at least two years up to the date of sale. Broadly, you must be an employee or office holder (such as a company director), and the company’s main activities must be trading rather than non-trading investment activity.

The detail matters. Share classes, spouse or civil partner planning, surplus cash, investment assets and group structures can all affect the outcome. A simple example:

Scenario Broad tax position Planning point
Qualifying BADR share sale
18% CGT on qualifying gains from 6 April 2026, up to the lifetime limit
Check the rules early
Non-qualifying share sale
Standard CGT rates may apply
Do not assume BADR is automatic
Company sells assets
Company may pay Corporation Tax, then owners need an extraction plan
Buyer and seller preferences may differ

This is general information, not tax advice. Your accountant or tax adviser should confirm the tax treatment before any sale or restructure.

Use pensions deliberately before selling a business

Abode financial planning system

Pension contributions before selling a business can be one of the most useful planning areas, but timing is important.

Many company directors pay themselves through a mix of salary and dividends. Personal pension contributions are usually limited by relevant UK earnings, which may be low if salary is modest. Employer pension contributions work differently and are not limited by salary in the same way, although they still count towards pension allowances.

The standard pension annual allowance is currently £60,000. Unused allowance from the previous three tax years can often be carried forward, provided you were a member of a registered pension scheme in those years. The allowance can be lower for high earners under the tapered annual allowance, and the Money Purchase Annual Allowance can reduce it to £10,000 if you have already flexibly accessed a defined contribution pension.

Employer pension contributions can reduce taxable company profits where they are allowable business expenses. HMRC guidance says employer contributions must be made “wholly and exclusively” for the purposes of the trade to be deductible.

Your accountant should confirm deductibility before any large company pension contribution is made.

In plain English: pension planning can work well before a sale because the company may still have profits and you may still control the timing. After completion, you may have cash personally, but not the same company contribution route.

Build the right adviser team

Financial advice cirencester

A good exit usually needs more than one adviser. The key is making sure they talk to each other.

You may need:

  • An accountant or tax adviser for BADR, company structure and tax filings.
  • A corporate finance adviser for valuation, buyer approach and negotiation.
  • A solicitor for contracts, due diligence and sale documents.
  • A financial planner for retirement planning, pension strategy, investment planning and life after the sale.

Abode Financial Planning’s role is not to sell your business. It is to help you understand what the sale needs to achieve personally, then coordinate the financial planning around pensions, retirement income, tax wrappers, investment strategy and family goals.

A 3–5 year exit planning timeline

Five years out:
Clarify your personal goals. Work out how much is “enough” and whether a sale, MBO, family handover or longer ownership might suit you.

Four years out:
Get an indicative valuation. Identify what would worry a buyer and start reducing dependence on you.

Three years out:
Tidy contracts, reporting, governance, pension planning and shareholder arrangements. Review whether BADR may apply.

Two years out:
Check trading status, surplus cash, share structure and pension allowances. Do not leave this until the final year.

Twelve months out:
Prepare due diligence, agree adviser roles and understand likely deal structures, including deferred payments or earn-outs.

After completion:
Plan the proceeds. Decide how much to hold in cash, invest, gift, spend or use to support retirement.

Frequently asked questions

Start three to five years ahead. Reduce reliance on you, improve financial reporting, tidy contracts, strengthen management and review tax and pension planning early.

It depends on whether you sell shares or assets, whether BADR applies, your gain and your wider tax position. BADR can reduce CGT on qualifying gains, but it is not automatic.

Business Asset Disposal Relief is a Capital Gains Tax relief for qualifying business disposals. From 6 April 2026, qualifying gains are taxed at 18%, subject to the lifetime limit and conditions. GOV.UK

Potentially, yes. Employer pension contributions may be possible before sale, subject to pension allowances and company tax rules. Check this with your accountant and financial planner before making large contributions.

Sellers often prefer a share sale because it may give cleaner personal tax treatment. Buyers may prefer an asset sale because they can choose what they buy and leave some liabilities behind. The best route depends on the deal.
